At Eileen’s Proofreading & Copyediting Services (“I” or “my”), I am committed to providing clear, reliable, and professional editing services.
The following Terms and Conditions outline expectations for both the client (“you” or “your”) and me to ensure a smooth and successful experience. By purchasing my services or accessing any resource on my website, you agree to these Terms and Conditions.
1. Services Provided
I provide professional proofreading and copyediting services for written content, including but not limited to:
Copyediting includes corrections to grammar, spelling, punctuation, clarity, consistency,
conciseness, and overall readability. Copyediting may also include light fact-checking where appropriate. Proofreading includes corrections to any remaining mechanical errors overlooked during copyediting. You are under no obligation to offer me work, and I am under no obligation to accept work from you.
2. Scope of Work
I will determine the scope of work your writing needs based on the following:
I only accept copyedited projects for proofreading. Having your project copyedited after it is proofread and then having it proofread again will be a waste of your time and money.
3. Client Responsibility
When submitting written material for copyediting or proofreading, you agree to do the following:
Aside from light fact-checking as agreed upon, I will not be responsible for verifying factual accuracy.
4. Turnaround Times
We will agree on the turnaround time prior to the start of each project. Turnaround time is based on the following:

5. Pricing and Payment
All prices are in US dollars. I accept payment through PayPal, Venmo, or Zelle. My rate starts at $0.015 per word for copyediting and $0.01 per word for proofreading. This may increase depending on the following:
I will provide an estimate and outline the payment terms prior to the start of the project. I will also provide a contract based on the agreed-upon project terms to protect both of our interests.
This will include a nondisclosure agreement if requested.
For projects over 5,000 words, a 25 percent deposit will be required. A second payment of 25 percent will be due at the midpoint of the project. The remaining 50 percent will be due upon completion and before delivery of the final files. Work will begin after receipt of the first deposit.
For projects under 5,000 words, payment will be due upon completion. Work will begin after agreement to terms. Outside of emergency situations, all fees are nonrefundable once work has begun. Please read the contract carefully and feel free to ask me questions before submitting your initial deposit.
6. Late Payment
If the final payment is not received within 14 days of the agreed-upon due date, the final files will not be delivered until payment has been completed. If the payment remains outstanding beyond 14 days, a late fee of 1.5% of the outstanding balance will be added for each month the payment remains unpaid.
In the event of a returned, reversed, or disputed payment, you will be notified immediately, and work will be paused until the issue is resolved. A returned payment fee of $25.00 will be added to the outstanding balance. Work will resume and the final files will be delivered once the final payment has been completed.
7. Deliverables
I will deliver the final files once payment has been received in full, unless otherwise discussed and agreed upon. Deliverables include the following:
Project files will be deleted six months after work has been completed.
8. Revisions
I offer one free revision per project for the following situations:
Additional revisions or changes outside the original agreement will incur additional fees.
9. No Guarantees
While I will make every effort to provide high-quality, accurate proofreading and copyediting, please note the following:
Editing is a collaborative process, but the final responsibility for the document remains with the client.
10. Confidentiality
I treat all of your content and all of our communications as strictly confidential.
11. Intellectual Property
You retain full ownership of the content you submit to me. However, you will not receive the edits and suggestions I make on your content until you have paid in full, unless otherwise agreed upon.
I retain full ownership of the content I create on this website. Feel free to use the information for your research and to quote up to two sentences. However, if you quote more than two sentences or share a blog post in its entirety, you must provide credit.

13. Communication
We will communicate through agreed-upon channels (video calls, email, messaging, etc.) to ensure a clear understanding of expectations for both parties and to facilitate the sharing of project-related questions or concerns either of us may have.
If I send an inquiry necessary to complete the work, a response within three days will be
expected. Significant delays in response may result in an adjustment of the project deadline.
14. Cancellations
You may cancel the project in writing before I begin work on it.
15. Emergency Situations
Neither party will be held liable for delays or failure to perform due to circumstances beyond their reasonable control, including but not limited to natural disasters, illness, family emergencies, or other unforeseen events.
In such cases, both parties agree to communicate promptly and work together in good faith to reschedule or adjust the terms of the project. Any deposit already paid will be forwarded to the rescheduled project. If the project cannot be rescheduled, the deposit will be refunded.
16. Acceptance of Terms
You will be considered to have agreed to these Terms and Conditions once you have paid the deposit and sent the project to me for copyediting or proofreading.
In the event of a dispute arising out of or related to these Terms and Conditions or any services provided, both parties agree to first attempt to resolve the matter through good-faith communication. If the dispute cannot be resolved informally within 30 days, both parties agree to pursue mediation before initiating legal action. Each party will cover the cost of their own mediation.
Any unresolved disputes shall be governed by the laws of the State of New Jersey and handled in the appropriate courts of that state.
17. Changes to Terms
I can update these Terms and Conditions at any time. Existing signed contracts will remain governed by the version in effect when signed. I will notify you of any updates. Your continued use of my services indicates acceptance of any updated terms.
